  1. The Services

WebbLMS provides a managed, hosted learning management system based on the Moodle™ open-source platform, delivered as a subscription service.

Each customer is provisioned a dedicated or logically isolated LMS environment, configured according to the selected plan. WebbLMS provides hosting, infrastructure, maintenance, monitoring, and selected pre-configured plugins.

Moodle™ is open-source software governed by its own license. Nothing in these Terms modifies or replaces that license.

  1. Eligibility and Authority

You may use the Services only if:

  • You are at least 18 years old; and

  • You have legal authority to enter into these Terms on behalf of yourself or an organisation.

If you are entering into these Terms on behalf of an organisation, you represent and warrant that you are authorised to bind that organisation.

  1. Accounts and Responsibilities

You are responsible for:

  • Maintaining the confidentiality of administrator credentials

  • All activity occurring under your account

  • Ensuring that your users comply with these Terms

WebbLMS is not responsible for unauthorised access resulting from compromised credentials or customer-managed access controls.

  1. Subscriptions, Billing, and Paddle

4.1 Merchant of Record

All payments, subscriptions, renewals, taxes, and invoicing are handled by Paddle.com Market Ltd (“Paddle”), acting as Merchant of Record.

By purchasing a WebbLMS subscription, you also agree to Paddle’s terms and policies.

4.2 Pricing and Plans

Pricing is based on the selected plan and applicable usage limits (including Annual Active Users, storage, and features).

If usage exceeds plan limits, WebbLMS may require a plan upgrade, apply overage charges, or impose reasonable technical restrictions.

4.3 Renewals

Subscriptions renew automatically at the end of each billing period unless cancelled prior to renewal.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through Paddle. Unless otherwise required by law:

  • Access continues until the end of the current billing period

  • Fees already paid are non-refundable

  1. Trials

Free trials may be offered at WebbLMS’s discretion.

Trial environments may be limited in features, availability, or data retention. WebbLMS does not guarantee retention of trial data after the trial period ends.

  1. Customer Data and Content

6.1 Ownership

You retain ownership of all data, content, and materials uploaded to or generated within your WebbLMS instance (“Customer Data”).

WebbLMS does not claim ownership of Customer Data.

6.2 License to Operate

You grant WebbLMS a limited, non-exclusive license to host, process, transmit, and back up Customer Data solely for the purpose of providing the Services.

6.3 Responsibility

You are solely responsible for:

  • The legality and appropriateness of Customer Data

  • Compliance with applicable data protection, education, and sector-specific laws

  • Obtaining all required consents from end users

  1. Data Protection and Privacy

For website visitors and account holders, WebbLMS acts as a data controller.

For learner and end-user data stored within customer LMS instances, WebbLMS acts solely as a data processor on behalf of the customer.

WebbLMS processes personal data in accordance with applicable laws, including the EU GDPR, relevant US state privacy laws, and, where applicable, South African law.

A separate Data Processing Addendum may apply to enterprise customers.

  1. Backups, Availability, and Support

WebbLMS performs automated backups in accordance with the selected plan. Backups are provided as a convenience and do not replace customer-managed disaster recovery obligations.

WebbLMS does not guarantee uninterrupted availability unless expressly agreed in writing.

Support response times and service levels may vary by plan.

  1. Acceptable Use

You may not use the Services to:

  • Violate any applicable law or regulation

  • Infringe intellectual property or privacy rights

  • Distribute malware, abusive content, or spam

  • Interfere with platform security or usage controls

WebbLMS may suspend or terminate access for violations.

  1. Third-Party Services and Integrations

The Services may integrate with third-party services, plugins, or tools.

WebbLMS is not responsible for third-party services, their availability, or their terms. Use of third-party services is at your own risk.

  1. Suspension and Termination

WebbLMS may suspend or terminate access if:

  • These Terms are breached

  • Payment fails, is reversed, or is disputed

  • Required by law or regulation

  • Continued operation poses security or legal risk

Upon termination, Customer Data may be deleted after a reasonable retention period unless otherwise agreed.

  1. Intellectual Property

WebbLMS retains all rights in:

  • The WebbLMS platform and provisioning systems

  • Automation, scripts, and infrastructure tooling

  • Branding, documentation, and proprietary materials

Except as expressly stated, no rights are transferred to you.

  1. Disclaimers

The Services are provided “as is” and “as available.”

To the maximum extent permitted by law, WebbLMS disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

  1. Limitation of Liability

To the maximum extent permitted by law:

  • WebbLMS shall not be liable for indirect, incidental, special, or consequential damages

  • WebbLMS’s total liability shall not exceed the fees paid by you to WebbLMS in the preceding 12 months

Nothing in these Terms limits liability where such limitation is prohibited by law.

  1. Indemnification

You agree to indemnify and hold harmless WebbLMS from claims arising from:

  • Your use of the Services

  • Customer Data

  • Violation of laws or third-party rights

  1. Governing Law and Venue

These Terms are governed by the laws of the Republic of South Africa, excluding conflict-of-laws principles.

The courts of South Africa shall have exclusive jurisdiction.

  1. Changes to These Terms

WebbLMS may update these Terms from time to time. Material changes will be posted on the website or communicated through the Services.

Continued use of the Services constitutes acceptance of the updated Terms.
